Terms and Conditions for Participation in the MAXPRO Ad Contest

1. Eligibility:
- Participants must be at least 18 years old.
- Employees of MAXPRO and their immediate family members are not eligible to participate.

2. Submission Requirements:
- Participants must submit original videos and images created by them.
- Submissions must showcase the participant using the MAXPRO device.
- All submissions must be in compliance with applicable laws and not contain any offensive or inappropriate content.

3. Grant of Rights:
- By submitting an entry, participants grant MAXPRO a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, distribute, display, and create derivative works of the submitted videos and images and of person/people in the video.
- MAXPRO may use the submissions for paid and organic advertisements, on its website, social media platforms, and for any other purposes it deems necessary.

4. Usage Rights:
- Participants acknowledge and agree that their submissions may be used in various formats, including but not limited to, digital and print media, promotional materials, and online platforms.
- MAXPRO reserves the right to edit, modify, and adapt the submissions for any purpose related to the contest and its promotional activities.

5. Privacy and Publicity:
- Participants consent to the use of their name, likeness, in connection with the promotion of the contest and the use of their submissions.
- MAXPRO will not share personal information with third parties without the participant's consent, except as necessary for the administration of the contest or as required by law.

6. Ownership:
- Participants retain ownership of their submissions but grant MAXPRO the rights outlined in these terms and conditions.
- MAXPRO will credit participants when using their submissions, where feasible.

7. Liability:
- MAXPRO is not responsible for any lost, late, incomplete, or misdirected entries.
- Participants agree to release and hold harmless MAXPRO from any and all claims, damages, or liabilities arising from their participation in the contest or the use of their submissions.

8. General Conditions:
- MAXPRO reserves the right to cancel, suspend, or modify the contest if any fraud, technical failures, or any other factor impairs the integrity of the contest.
- These terms and conditions are governed by the laws of Michigan and any disputes will be subject to the exclusive jurisdiction of the courts of Michigan.
